Cyclerion's 400% stock surge follows bold $380M Alzheimer's drug merger
Shares of Cyclerion Therapeutics surged by over 400% on Wednesday after the company announced a merger with Korsana Biosciences. The deal will create a new entity, Korsana Biosciences, which plans to trade on Nasdaq under the ticker 'KRSA'. The merger follows a strategic review by Cyclerion, a firm previously focused on neuropsychiatric treatments. Under the agreement, existing Cyclerion shareholders will hold just 1.5% of the combined company, while Korsana's investors will control the remaining 98.5%.
A private investment round (PIPE) led by Fairmount and Venrock Healthcare Capital Partners raised roughly $380 million. This funding is expected to support operations through 2029, giving the new company a long financial runway. Jonathan Violin, currently Korsana's CEO, will lead the merged organisation. Tomas Kiselak from Fairmount will serve as chairman. The combined entity will rebrand as Korsana Biosciences and focus on advancing Korsana's Alzheimer's drug candidate, KRSA-028. However, no human efficacy data for the drug is anticipated before late 2027. Cyclerion's stock price has climbed sharply, trading at nearly six times its value from early February. In its last annual filing, the company reported $2.07 million in revenue and a net loss of $3.53 million.
The merger and financing provide Korsana Biosciences with substantial capital to develop its pipeline. The new company will operate under the KRSA ticker, with leadership from Korsana's existing team. Shareholders will now await progress on its Alzheimer's program, though key data remains years away.
